These Terms and Conditions ("Terms") govern access to the website operated by Ryzor Solutions ("Ryzor," "we," "us," or "our") and provide general terms for enquiries and services offered through the website. By accessing the website or purchasing or using a Ryzor service, you agree to these Terms and any applicable proposal, order form, statement of work, service agreement, data processing terms, or other written agreement between you and Ryzor.
1. Eligibility and Business Use
You must be at least 18 years old and capable of entering into a binding agreement to use paid Ryzor services. If you use the website or services on behalf of a company or other organization, you represent that you are authorized to bind that organization to the applicable agreement.
2. Website Information
Website content is provided for general informational and marketing purposes. Service descriptions, examples, starting prices, workflows, integrations, timelines, and capabilities may change. A website statement does not create a binding commitment unless it is included in a signed proposal, order form, statement of work, or service agreement.
3. Services and Order Documents
Ryzor may provide AI reception, booking automation, missed-call text-back, reputation workflows, AI lead follow-up, CRM automation, website AI chat, and related implementation or support services.
The exact scope, fees, billing frequency, implementation assumptions, integrations, support level, term, cancellation rights, and deliverables will be stated in the applicable written order document. If there is a conflict between these website Terms and a signed service agreement or order document, the signed agreement controls for that service.
4. AI Output and Human Review
AI and automated systems can produce incomplete, inaccurate, outdated, or unexpected output. You are responsible for deciding where human review is required and for ensuring that automated messages, bookings, classifications, summaries, or recommendations are appropriate for your business.
Ryzor services are not intended to make final decisions about legal rights, credit, employment, housing, insurance, medical treatment, emergency response, or other high-impact matters unless a separate written agreement expressly addresses the required controls and applicable law.
5. Customer Responsibilities
You are responsible for:
- providing accurate business information, service rules, scripts, schedules, calendars, and integration access needed for implementation;
- reviewing and approving customer-facing content, call scripts, text messages, booking rules, escalation logic, and other configured workflows;
- maintaining appropriate permissions, licences, and accounts for third-party platforms you ask us to connect;
- ensuring your use of the services complies with applicable laws, industry rules, and contractual obligations;
- providing legally required notices and obtaining consent for call recording, call transcription, text messaging, marketing, automated communications, or processing of personal information;
- responding to privacy, access, deletion, correction, or consent requests where you control the relevant customer or end-user data; and
- not using the services for unlawful, deceptive, abusive, discriminatory, harassing, fraudulent, or harmful activity.
6. Communications Compliance
You are responsible for ensuring that marketing and customer communications sent through your Ryzor-configured systems comply with applicable law. This may include U.S. requirements for commercial email, telemarketing, text messaging, consent, opt-out, do-not-call rules, and call recording, as well as Canada's Anti-Spam Legislation (CASL), privacy requirements, and provincial rules.
Ryzor may provide technical tools for consent fields, opt-out keywords, suppression lists, or workflow controls, but those tools do not transfer your legal compliance obligations to Ryzor.
7. Acceptable Use
You may not use the website or services to:
- violate any law, regulation, court order, or third-party right;
- send spam, unlawful robocalls, deceptive messages, or communications to persons who have lawfully opted out;
- collect or process personal information without a lawful basis, required consent, or required notice;
- impersonate another person or misrepresent the identity of a business;
- upload malware, interfere with security, probe systems without authorization, or disrupt services;
- use automated systems to discriminate unlawfully or make prohibited high-impact decisions; or
- infringe intellectual-property, confidentiality, privacy, publicity, or other rights.
We may suspend or restrict access where we reasonably believe use creates security, legal, operational, or abuse risk.
8. Customer Content and Data
As between you and Ryzor, you retain ownership of content and data you provide to us, subject to rights held by third parties. You grant Ryzor and our authorized service providers a limited right to host, copy, transmit, process, transform, and otherwise use that content only as reasonably necessary to provide, secure, support, and improve the contracted services or as otherwise permitted by the applicable agreement and law.
You represent that you have the rights and permissions necessary to provide the content and data to us and to instruct us to process it.
9. Ryzor Intellectual Property
The website, branding, service methodologies, templates, documentation, software, workflow designs, configuration materials, and other Ryzor materials are owned by Ryzor or our licensors except where a written agreement states otherwise. These Terms do not transfer ownership of Ryzor intellectual property to you.
Any customer licence to use Ryzor materials is limited to the scope and term stated in the applicable service agreement or order document.
10. Third-Party Services and Integrations
Ryzor services may depend on third-party platforms such as telecommunications providers, AI providers, calendars, CRMs, website hosts, payment processors, email or SMS providers, or automation tools. Compatibility depends on each provider's APIs, permissions, pricing, policies, and technical availability.
We are not responsible for third-party outages, account restrictions, policy changes, data handling, or modifications outside our control. You may be required to accept separate third-party terms.
11. Fees, Billing, Taxes, and Cancellation
Website prices shown as "from" prices are starting points and may not include setup, customization, third-party usage charges, carrier fees, taxes, or optional services. Final pricing and billing terms are stated in the applicable proposal, order form, or service agreement.
You are responsible for applicable taxes, except taxes imposed on Ryzor's net income. Renewal, cancellation, suspension, refund, and termination rights are governed by the applicable order document and any non-waivable rights under law.
12. Confidentiality
Each party may receive non-public business, technical, security, pricing, customer, or operational information from the other. Where no separate confidentiality agreement applies, each party agrees to use reasonable care to protect confidential information and use it only for the business relationship, except for information that is public through no breach, lawfully received without a duty of confidentiality, independently developed, or required to be disclosed by law.
13. Privacy
Our handling of personal information for our own business purposes is described in our Privacy Policy. When we process information on behalf of a business customer, additional data protection terms may apply.
14. Security
Ryzor uses reasonable safeguards designed to protect systems and information. You are responsible for protecting credentials, maintaining secure access to your own systems, promptly removing access for former personnel, and notifying us if you suspect unauthorized access affecting a Ryzor-connected service.
15. Disclaimers
To the maximum extent permitted by applicable law, the website and any free information are provided "as is" and "as available." We do not warrant that AI output will always be accurate, that every integration will be compatible, or that a service will operate without interruption.
Any specific service-level commitments, warranties, or remedies are only those expressly stated in a signed service agreement.
16. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data, arising from use of the website or services, even if advised that such damages are possible.
Any additional liability cap or negotiated allocation of risk for paid services will be stated in the applicable service agreement or order document. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
17. Indemnity for Misuse
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Ryzor and its personnel from third-party claims, losses, or reasonable costs arising from your unlawful use of the services, your content or data, your violation of another person's rights, or your breach of Section 5, 6, or 7 of these Terms. This section is subject to any different indemnity terms in a signed service agreement.
18. Suspension and Termination
We may suspend access to protect security, prevent abuse, comply with law, address non-payment, or respond to a material breach. Paid-service termination rights and any transition obligations are governed by the applicable service agreement or order document.
19. Governing Law and Disputes
The governing law and forum for a paid customer relationship will be the law and forum stated in the applicable signed agreement or order document. If no governing-law clause exists, the parties will first attempt in good faith to resolve the dispute through direct business discussions before commencing formal proceedings.
Nothing in these Terms removes mandatory rights or remedies that cannot legally be waived under applicable U.S. federal or state law, Canadian federal law, or applicable provincial law.
20. Electronic Communications
You agree that agreements, notices, disclosures, approvals, and other communications may be provided electronically where permitted by law. Marketing communications remain subject to applicable consent and opt-out requirements.
21. Changes to These Terms
We may update these Terms from time to time. Changes apply prospectively from the updated date unless a different effective date is stated. Material changes to an existing paid service relationship will be handled according to the applicable service agreement and law.
